Proposed Rules - Digital and Virtual Assets Operations

Digital assets

These Rules shall apply to:

(a) all digital and virtual asset activities constituting investments and securities business in Nigeria, including:

(i) issuance and offering of digital and virtual assets;

(ii) tokenisation, lifecycle management, and any hybrid digital‑asset arrangements;

(iii) trading, custody, transfer and settlement;

(iv) investment, advisory and financial services relating to digital and virtual assets; and

(v) any other activity as may be determined by the Commission; and

(b) any person who:

(i) operates in Nigeria;

(ii) provides services to persons resident in Nigeria; or

(iii) targets Nigerian investors or the Nigerian market, whether directly, indirectly, or through digital channels.

Comments should be forwarded to the Secretariat, Rules Committee via rulescommittee@sec.gov.ng or through the DG SEC not later than two weeks from the date of exposure.
